Terms and Conditions of Use Agreement

PLEASE READ THIS TERMS AND CONDITIONS OF USE AGREEMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS ANY LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.

This Terms and Conditions of Use Agreement (“Agreement”) governs the use of the CSD Works Career Center (“Career Center”) located at https://www.csdworks.com.

CSD Works Career Center is owned and maintained by Communication Service for the Deaf, Inc. (“CSD”).  The use of the name “CSD Works” is interchangeable and synonymous with the use of the trademarked name of “CSD.”

You are permitted to access the Career Center upon acceptance of and in accordance with the terms and conditions under this Agreement, and as may be modified by CSD from time to time.  IF YOU DO NOT ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT, AND ANY SUBSEQUENT MODIFICATIONS TO THE AGREEMENT AS CSD MAY MAKE FROM TIME TO TIME, YOU MAY NOT ACCESS THE CAREER CENTER. 

  • Definitions
    1. “Employer” or “Employers” shall mean entities and/or organizations seeking to make available information regarding employment openings.
    2. “Job Seeker” or “Job Seekers” shall mean all individuals viewing a job posting listed on the Job Board.
    3. “Job Board” shall mean the area within CSD Works Career Center where job postings are listed for the purpose of providing information about a job opening.
    4. “Job Wrapping” or “Job Wrap” shall mean an automated process that involves copying job postings from an Employer’s website to the CSD Job Board.
    5. “User” or “Users” or “You” shall mean all individuals, entities and/or organizations, including but not limited to, Job Seekers and Employers, who are registered for an account to access the Career Center.
  • User Account
    1. User Account Creation. A valid account is required to access and use the Career Center. To create an account, you must register by providing the information requested and completing a user profile (“User Profile”).
      1. To be eligible to create an account, you:
        • must be at least 18 years of age;
        • have a valid e-mail address that only you have access to or you are otherwise an authorized representative with the necessary permissions to access that e-mail; and that you
        • are a legal resident of the United States.
      2. Representations and Warranties. When you create an account and complete your User Profile, you represent and warrant that:
        • you can enter into legally binding contracts and/or you can enter into legally binding contracts on behalf of the Employer for which you are an authorized representative;
        • the information you provide in the course of creating an account and completing a User Profile is true and accurate to the best of your knowledge;
        • any information you provide, including without limitation, your name, e-mail, or address, will be updated promptly in the event of any change;
        • you acknowledge and accept that your e-mail will be used by CSD to send you e-mail communications about your account and any other information related to CSD Works or the Career Center;
        • you will use the Career Center only for its intended purposes; and
        • you will use the Career Center only in the United States.
      3. User Account Ownership.
        1. User’s creation of an account does not confer rights of ownership of the account to User. CSD owns the account and will permit User to access the account and the Career Center; provided, however, that such permission is contingent on User accepting, agreeing to, and abiding by the terms of this Agreement.
        2. Login Credentials. The e-mail address you use with your account and the password you have selected will serve as your login credentials (“Credentials”) to access the Career Center. You are responsible for maintaining the confidentiality and security of your Credentials and for any use of or action taken under your Credentials.  You should not disclose your Credentials to any unauthorized third parties. If the security of your Credentials have been compromised, you must change your Credentials immediately by accessing your User Profile page and changing your e-mail address and/or password. If you are unable to access your User Profile page, contact CSD for assistance at works@csd.org.
      4. Account Deactivation and Suspension.
        1. Deactivation. If you do not accept the terms and conditions of this Agreement or wish to deactivate your account, you may deactivate your account at any time by sending an e-mail request to CSD at works@csd.org; provided, however, that you do not deactivate your account as a means for evading any legally binding restrictions. Within two (2) business days from CSD’s receipt of your e-mailed request to deactivate your account to works@csd.org, CSD will deactivate your account, and disable all future use of it. However, you understand and agree that CSD may not delete any information contained in your account, as it may be required to report such information to third parties including (but not limited to) law enforcement authorities or other federal, state, municipal, provincial, territorial or local taxing authority.
        2. CSD may suspend a User’s account for violation of this Agreement or for abuse of the Career Center. CSD will notify User by e-mail prior to suspension. Notwithstanding the foregoing, CSD reserves the right to suspend a User’s account immediately and without notice if CSD, in its sole discretion, determines that it is necessary to prevent harm to the Career Center or to other Users.
      5. Account Communications. You agree and consent to receiving electronic communications, notices, and disclosures in connection with your account and your use of the Career Center (collectively, “Communications”) that CSD provides you at the e-mail you list in your account. It is your responsibility to keep your primary e-mail in your account up to date.  You understand and agree that if CSD sends Communications to you, but you do not receive it because the e-mail in your account is incorrect, out of date, no longer in service, or no longer owned or accessible by you, CSD will be deemed to have delivered Communications to you.  If you use a spam filter that blocks or re-routes e-mails from senders not listed in your e-mail address book, you must add CSD to your e-mail address book in order to receive any Communications that CSD sends you.
      6. Prohibited Activities. CSD reserves the right to investigate and terminate your account if you have misused the Career Center, or behaved in a way which could be regarded as inappropriate or if your conduct is unlawful or illegal. The following is a representative of, and is not exhaustive, of the type of actions that you may not engage in with respect to the Career Center: (a) you will not use the Career Center for any purpose that is unlawful or prohibited under federal or state law; (b) you will not violate the terms of this Agreement or the Privacy Policy; (c) you will not impersonate any other person or entity; (d) you will not “stalk” or otherwise harass any other individual, entity and/or organization; (e) you will not directly express or imply that any statements you make are endorsed by CSD; (f) you will not use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine,” or in any way reproduce or circumvent the navigational structure or presentation of the Career Center or its contents; (g) you will not post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights; (h) you will not remove any copyright, trademark or other proprietary rights notices contained in the Career Center; (i) you will not interfere with or disrupt the Career Center or the servers or networks connected to the Career Center; (j) you will not post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (k) you will not forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Career Center (l) you will not “frame” or “mirror” any part of the Career Center without CSD’s prior written authorization and you shall not use metatags or code or other devices containing any reference to the Career Center in order to direct any person to any other website for any purpose; and (m) you will not attempt to modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Career Center or cause others to do so.  You further agree not to copy, reproduce, modify, create derivative works, publish, distribute, transmit, publicly display, or post on any other website any content from the Career Center without the written consent from CSD. You agree not to injure the Career Center in any way, including through the creation or deployment of any virus or corrupted data or copying the Career Center or hindering the functioning of the Career Center. CSD has the right, but not the obligation, to edit, modify, refuse to post, reject, eliminate, or remove any information existing on or transmitted to the Career Center that it, in its sole discretion, believes is unacceptable or in violation of these terms or may create liability or may cause CSD to lose the services of its vendors or service providers.

  • Job Seekers
    1. Information Collected. Upon creation of an account to use the Career Center and completion of a User Profile, the information CSD may collect from Job Seeker, includes but is not limited to, name, e-mail, professional title, location, profile picture, profile video, list of skills, resume, URLs to Job Seeker’s website or social network profiles, education, and experience.
    2. Information Use and Privacy. The Privacy Policy (“Privacy Policy”) is located at https://www.csdworks.com/privacy-policy/ and is hereby incorporated into this Agreement by reference. Please read the Privacy Policy carefully for details relating to the collection, use, and disclosure of information you provide to CSD.
      1. No Guarantee of Results. CSD MAKES NO CLAIMS OF ANY KIND WITH RESPECT TO THE CAREER CENTER AND THE SERVICES PROVIDED AND SHALL NOT BE LIABLE FOR YOUR RELIANCE ON ANY STATEMENTS OR DEMONSTRATIONS MADE BY CSD. YOU RECOGNIZE AND AGREE THAT CSD HAS MADE NO IMPLICATIONS, WARRANTIES, PROMISES, SUGGESTIONS, PROJECTIONS, REPRESENTATIONS, OR GUARANTEES TO YOU ABOUT FUTURE PROSPECTS OR RESULTS, OR THAT YOU WILL RECEIVE EMPLOYMENT OR EARN ANY MONEY. CSD HAS NOT AUTHORIZED ANY SUCH PROJECTION, PROMISE, OR REPRESENTATION BY OTHERS.
      2. No Endorsement or Guarantees of Employers. CSD does not represent or warrant that the entities or organizations that hold themselves out as Employers or otherwise makes available a job posting will: respond to any inquiries made by a Job Seeker; hire a Job Seeker who applies to a job posting; the Employer is a good fit with Job Seeker; or that the Employer will make its job posting or job position if hired accessible to people with disabilities.
  • No Guarantee of Accuracy or Availability of Job Postings. CSD does not represent or warrant that: a certain number of job postings will be made available; information about a job posting is accurate or representative of the job position opening; or that the job posting is for a position that is available.
  1. Links to Third Party Websites. CSD makes no representations whatsoever about any other third party websites (“Third Party Websites”) that you may access though this Website. When you access a Third Party Website, you understand that it is independent from CSD and CSD has no control over the content on such Third Party Website. A hyperlink to a Third Party Website does not mean that CSD endorses or accepts any responsibility for the content, or the use, of the linked Third Party Website. You are responsible for taking all precautions to ensure that whatever you select for your own use or download is free of such items as viruses, worms, trojan horses, and other items of a destructive nature.
  2. Optional Third Party Tools. CSD may provide you with access to third party tools (“Third Party Tools”) through the links on the Career Center. CSD does not monitor and does not have any control over such Third Party Tools. You acknowledge and agree that CSD provides access to such Third Party Tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. CSD shall have no liability whatsoever arising from or relating to your use of optional Third Party Tools. Any use by you of optional Third Party Tools offered through the Career Center is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third party provider(s).
  • Employers
    1. Job Wrapping. Employer may give permission to CSD via email to do Job Wrapping. This service is free of charge when Employer provides the RSS feed to CSD and is an alternative to the Employer creating an account and posting it own jobs on the Job Board. Employer may request cancellation of Job Wrapping at any time by emailing CSD at works@csd.org. Upon receipt of a cancellation email from Employer, CSD shall cancel Job Wrapping within two business days.
    2. Information Collected. Upon CSD’s receipt of written permission from Employer to do Job Wrapping or by Employer’s creation of an account to use the Career Center and completion of a User Profile, the information CSD may collect from Employer, includes but is not limited to, Employer’s authorized representative’s name and e-mail address, company name, tagline, company description, website, social network profiles, logo, and details for job postings. Details for job postings may include, but are not limited to, job title, application e-mail address or URL, location, job type, job tags, featured image, description, and closing date.
    3. Information Use and Privacy. The Privacy Policy (“Privacy Policy”) is located at https://www.csdworks.com/privacy-policy/ and is hereby incorporated into this Agreement by reference. Please read the Privacy Policy carefully for details relating to the collection, use, and disclosure of information you provide to CSD.
      1. No Discrimination. In its job postings or hiring practices, an Employer or potential Employer must agree to and abide by all anti-discrimination employment regulations, including but not limited to Title I of the Americans with Disabilities Act, the regulations of the Equal Employment Opportunity Commission, and other applicable state and federal laws.
      2. Equal Opportunity. An Employer or potential Employer must base its employment decisions based on business needs, job requirements and individual qualifications without regard to race, color, religion or belief, national, social or ethnic origin, sex (including pregnancy), age, physical, mental or sensory disability, HIV status, sexual orientation, gender identity and/or expression, marital, civil union or domestic partnership status, past or present military service, or any other status protected by any federal or state laws in the localities Employer is located.
      1. No Guarantee of Results. CSD MAKES NO CLAIMS OF ANY KIND WITH RESPECT TO THE CAREER CENTER AND THE SERVICES PROVIDED AND SHALL NOT BE LIABLE FOR YOUR RELIANCE ON ANY STATEMENTS OR DEMONSTRATIONS MADE BY CSD. YOU RECOGNIZE AND AGREE THAT CSD HAS MADE NO IMPLICATIONS, WARRANTIES, PROMISES, SUGGESTIONS, PROJECTIONS, REPRESENTATIONS, OR GUARANTEES TO YOU ABOUT FUTURE PROSPECTS OR RESULTS, OR THAT YOU WILL BE ABLE TO EMPLOY ANY JOB SEEKERS OR EARN ANY MONEY. CSD HAS NOT AUTHORIZED ANY SUCH PROJECTION, PROMISE, OR REPRESENTATION BY OTHERS.
      2. No Endorsement of Job Seekers. CSD does not endorse any Job Seekers that may respond to or inquire about a Job Posting or that the Job Seeker is qualified for the position applied.
  • Intellectual Property
    1. CSD. CSD Works Career Center and all its contents are the intellectual property of CSD. Subject to the terms of this Agreement and your successful registration of an account, CSD hereby grants to you a revocable, limited, non-transferable, royalty-free, and non-exclusive license to use the Career Center. Your use of the Career Center shall be strictly in accordance with this Agreement and all policies referenced herein. Nothing in this Agreement grants or transfers to you or to any third party any ownership rights in the Career Center, including the software and other intellectual property rights related to Career Center.
    2. All logos and tradenames of Employers displayed or used on the CSD Works Career Center are the property of its respective Employers and used by CSD with the express written permission by Employers.
    3. Third Parties. CSD may provide certain services or functionality using third party services (“Third Party Services”). You agree not to copy, reproduce, modify, create derivative works, publish, distribute, transmit, publicly display, or post on any other website any Third Party Services without the consent of such third party. Users agree that that the use of such Third Party Services is subject to any applicable additional terms and conditions which may include the third parties’ terms and conditions.
      1. CSD uses Indeed for job postings in the Career Center. By using the Career Center and accessing the job postings, Users agree to abide by the Indeed Terms of Service available at http://www.indeed.com/legal. For questions regarding the Indeed Terms of Service please contact Indeed at http://www.indeed.com/support/contact.
  • Disclaimers and Limited Liability
      1. No Guarantee. CSD cannot guarantee that the Career Center will always function without disruptions, delay, or errors. A number of factors may impact the quality of and the use of the Career Center, including but not limited to: the User’s computer, local network, firewall, Internet service provider, the public Internet, and power supply. CSD is not responsible for any disruption, interruption or delay caused by any failure of or inadequacy in performance of any kind and for any reason or in any other events over which CSD has no control.
      2. Not Responsible for Actions of Third Parties. You are solely responsible for your interactions with Third Parties. CSD makes no representations or warranties as to the conduct of Third Parties and shall not be in any way liable for any conduct of any Third Party. YOU HEREBY RELEASE CSD FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES (ACTUAL, CONSEQUENTIAL, NOMINAL, PUNITIVE, OR OTHERWISE), EQUITABLE RELIEF, AND ANY OTHER LEGAL, EQUITABLE, AND ADMINISTRATIVE REMEDY, OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, PAST, PRESENT, OR FUTURE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR INTERACTION WITH THIRD PARTIES.
    1. Limited Liability.
      1. No Indirect or Consequential Damages. To the fullest extent permitted by applicable law, CSD and its affiliates (and its respective employees, directors, agents, and representatives) will not be liable for any indirect, incidental, punitive, or consequential damages arising out of or in connection with this Agreement or the Career Center (including without limitation the inability to use the Career Center).
      2. Limited Aggregate Liability. In addition, and without limiting the foregoing, the total aggregate liability of CSD and its affiliates (and its respective employees, directors, agents, and representatives) for claims asserted by any User under or in connection with the Agreement, regardless of the form of the action or the theory of recovery, shall be limited to the total charges paid or payable to CSD, if any, by the User under the Agreement during the twelve (12) month period preceding the last act or omission giving rise to such liability.
  • Maximum Effect. The laws of certain states or other jurisdictions do not allow limitations on implied warranties, or the exclusion or limitation of certain damages. If these laws apply, some or all of the above disclaimers, exclusions, or limitations may not apply, and there may be rights in addition to those contained in this Agreement. CSD and its Affiliates’ (and its respective employees, directors, agents and representatives) liability are limited to the greatest extent permitted by law.
  • General
    1. Independent Contractor. Neither party to this Agreement shall, for any purpose, be deemed to be an agent of the other party and the relationship between the parties shall only be that of independent contractors. Neither party shall have any right or authority to assume or create any obligations or to make any representations or warranties on behalf of any other party, whether express or implied, or to bind the other party in any respect whatsoever.
    2. You can review the most current version of this Agreement at any time on this page. CSD may modify the terms of this Agreement from time to time without notice to you. It is your responsibility to check the Career Center periodically for changes. Continued use of the Career Center after any modifications to the terms of this Agreement constitutes your acceptance of such modified terms.
    3. CSD shall not be obligated to you for any claims, actions, demands, liabilities arising directly or indirectly out of or from your acts or omissions, in connection with: (i) the access or use of the Career Center; (ii) any violation of any term of this Agreement; or (iii) any breach or violation of a right of any third party or of any law, statute, ordinance or regulation related to use of the Career Center. You agree to indemnify, defend and hold harmless CSD, its officers, directors, employees, agents, representatives and corporate affiliates from any claims that arise directly or indirectly out of the matters described in this Subsection 7(d), including but not limited to reasonable attorney’s fees.
    4. Legal Notices. All legal notices to CSD shall be sent via certified mail, return receipt requested to the address listed below, with a copy sent by e-mail to legal@csd.org. CSD’s receipt of correspondence by e-mail is for convenience only and does not waive any objections, including the lack of jurisdiction or proper service.

  1. No Assignment. User may not transfer or assign any part of or the entire Agreement and the rights hereunder to any other person or entity without CSD’s prior written consent. Subject to the foregoing, this Agreement will be binding upon and will inure to the benefit of the successors and permitted assigns of the parties hereto.
  2. Voluntary Agreement. You affirm that you have carefully read this Agreement, understand the contents, had an opportunity to fully discuss and review the terms and conditions with legal counsel or other advisors of your choice and at your own cost, and have freely and voluntarily agreed to all of the terms and conditions of this Agreement.
  3. If any provision of this Agreement shall for any reason or to any extent be found invalid or unenforceable, the remainder of this Agreement and the application of such provision to other persons, entities or circumstances shall not be affected thereby, but, rather, shall be enforced to the extent consistent with the intent of the parties hereto and permitted by law. Further, in lieu of any provision found to be illegal, invalid or unenforceable, there shall be added automatically as part of this Agreement a provision as similar in terms to such provision deemed illegal, invalid or unenforceable as may be possible and which shall be legal, valid, and enforceable.
